Chapter 18: SEBI (Research Analysts) Regulations, 2014
The SEBI (Research Analysts) Regulations, 2014 govern individuals and entities that publish research reports, financial models, target prices, or buy/sell recommendations on listed securities.
Key Statutory Definitions (Regulation 2(1)(u))
- Research Analyst (RA): Any person who is primarily responsible for the preparation or publication of the content of a research report, or providing a research report, or making buy/sell/hold recommendations, or offering price targets on securities.
- Exclusions: Periodic general economic commentaries, news reporting, technical charting without recommendations, and confidential commercial valuations for mergers/private equity are not research reports under these regulations.
Capital Adequacy & Certification Requirements
- Body Corporate / Corporate RA: Minimum net worth of ₹50 Lakhs.
- Individual or Partnership Firm RA: Minimum net tangible assets of ₹5 Lakhs.
- Mandatory Professional Qualification: Must hold a postgraduate degree or professional diploma in finance/economics/accountancy, along with active NISM-Series-XV (Research Analyst Certification).
To preserve analytical objectivity, RAs must remain independent from commercial investment banking and proprietary trading desks.
Structural Chinese Walls & Compensation Restrictions
- Chinese Walls: Research departments must be physically and logically segregated from investment banking, merchant banking, and sales/trading divisions.
- Reporting Lines: RAs cannot report to or be supervised by personnel in investment banking or underwriting departments.
- Compensation Firewall: An RA's bonus or salary cannot be tied to specific investment banking revenues, underwriting mandates, or merchant banking deal fees.
Personal Trading Restrictions (Regulation 16)
To prevent front-running and self-serving recommendations:
- 30-Day Pre-Release Prohibition: An RA or research entity cannot trade in securities that the RA has reviewed or recommended within thirty (30) days prior to the publication of a research report.
- 5-Day Post-Release Prohibition: An RA cannot trade in recommended securities within five (5) days following publication.
- Contrary Trading Ban: An RA cannot trade contrary to their published recommendation within thirty (30) days, except in documented personal financial emergencies with prior approval from the Compliance Officer.
Every research report and public media appearance (television, podcasts, webinars, social media) must feature comprehensive disclosures:
- Whether the RA, research entity, or immediate relatives hold any financial interest or beneficial ownership exceeding 1% in the subject company;
- Whether the RA or research entity has received any compensation from the subject company for investment banking, underwriting, or merchant banking services during the preceding twelve (12) months;
- Whether the RA served as an officer, director, or employee of the subject company;
- Maintenance of research reports, financial models, and recommendation audit trails for a minimum of five (5) years.
The Research Analysts Regulations prescribe exact content requirements that must be present in every published research report.
Mandatory Report Inclusions
- Clear Rating Definitions: The report must explicitly define terms such as "Buy", "Hold", "Sell", "Accumulate", or "Reduce", including the price target timeframe (e.g., 12-month horizon) and expected return percentage.
- Valuation Methodology: The report must detail the valuation model utilized (Discounted Cash Flow - DCF, Price-to-Earnings - P/E multiple, EV/EBITDA, Price-to-Book - P/B) and outline underlying financial assumptions.
- Risk Factors & Sensitivity Analysis: Detailed analysis of operational, financial, and macroeconomic risks that could prevent the stock from achieving the stated price target.
- Historical Recommendation Audit: For recurring coverage, the report must include a price chart showing past recommendations and target price revisions over the preceding three (3) years.
Research entities must institute continuous internal monitoring to maintain compliance with regulatory standards.
Compliance Officer Appointment
- Every research entity that is a body corporate or partnership firm must appoint a dedicated Compliance Officer.
- The Compliance Officer monitors personal trading clearances, enforces Chinese walls, reviews draft reports for statutory disclosures, and files periodic reports with SEBI.
Annual Compliance Audit
Every research analyst must obtain an annual compliance certificate from an independent practicing Chartered Accountant (CA) or Company Secretary (CS):
- Verifies adherence to net worth requirements;
- Tests research report disclosures and personal trading restrictions;
- Audits the preservation of financial models and research documentation for the mandatory five (5) year retention period.
