Inspection and Regulatory Oversight
Under Chapter V of the Regulations, SEBI possesses extensive powers to appoint inspecting authorities to examine the books of accounts, algorithmic execution logs, client agreements, and bank/demat reconciliations of any portfolio manager without prior notice. Failure to maintain records or violating investor protection norms can trigger suspension or cancellation of registration.
Inter-Regulatory Statutory Compliance Framework
Regulatory Integrity Pillars:

1. Prevention of Money Laundering Act (PMLA, 2002)
- Portfolio managers are Reporting Entities under Section 12 of PMLA.
- Must identify the Ultimate Beneficial Owner (UBO) holding at least 10% interest in corporate/trust clients.
- Continuous screening against international sanctions lists (UN, OFAC) and mandatory filing of Suspicious Transaction Reports (STRs) with the Financial Intelligence Unit - India (FIU-IND) within 7 days of arriving at a suspicion.
2. SEBI Prohibition of Insider Trading (PIT) & Structured Digital Database (SDD)
- Portfolio managers and research analysts interacting with listed company managements frequently encounter Unpublished Price Sensitive Information (UPSI).
- Structured Digital Database (SDD): Must maintain an internally hosted, immutable, tamper-proof database capturing the nature of UPSI, names, and PANs of persons sharing and receiving UPSI with non-volatile timestamps.
- Maintaining pre-clearance rules and restricted trading lists during trading window closures.
3. SEBI Prohibition of Fraudulent and Unfair Trade Practices (PFUTP)
- Strict prohibition on market manipulation, synchronized trades, artificial price pumping, circular trading, and front-running client orders.
Ethical Governance and the Code of Conduct for PMS Distributors
PMS Distributors play a crucial role in marketing portfolio management strategies to high-net-worth clients, operating under a strict SEBI Code of Conduct:

Online Dispute Resolution (SMART ODR Platform)
In 2023, SEBI integrated portfolio managers into the streamlined Securities Market Approach to Resolution Through ODR Portal (SMART ODR):
- Any investor grievance not satisfactorily resolved by the portfolio manager within 21 calendar days through internal grievance cells or SEBI SCORES is automatically escalated to independent online conciliation and arbitration under SMART ODR, ensuring rapid, legally binding dispute resolution.
