Chapter 15: Fund Monitoring, Reporting and Exit
Once capital is disbursed into portfolio enterprises, the Investment Manager transitions into the active Portfolio Monitoring and Value Creation Phase. Because private equity and private debt investments are illiquid and span 4 to 7 years, the Manager implements hands-on corporate governance and operational oversight.
Core Mechanisms of Portfolio Monitoring
- Board Representation and Active Governance: The Manager appoints Nominee Directors or Board Observers to participate in quarterly board deliberations, evaluate annual operating budgets, and oversee executive leadership.
- Monthly and Quarterly MIS Reviews: Standardized Management Information Systems (MIS) reports track monthly revenue runs, gross margins, EBITDA, working capital cycles, burn rates, and cash runway balances.
- Financial Covenant and Milestone Auditing: In private credit, managers monitor strict debt-service coverage ratios (DSCR), interest coverage ratios (ICR), and debt-to-equity caps. For venture investments, tranches of growth capital are disbursed only upon hitting audited operational milestones.
- Active Operational Value Addition: Introducing functional operating partners to overhaul digital marketing, recruit senior C-suite leadership (CFOs, CTOs), implement enterprise resource planning (ERP) systems, and identify accretive add-on acquisitions.
Alternative Investment Funds operate under strict reporting obligations mandated by the SEBI (Alternative Investment Funds) Regulations, 2012:

Material Changes in PPM and Exit Options for Dissenting Investors
Under SEBI circulars, if the Manager proposes to make any "Material Change" to the fund structure—such as altering the core investment strategy, increasing management fees, extending fund tenure beyond the 2-year cap, or changing the Sponsor/Manager control:
- Consent of Investors: The proposed change must be approved by at least 75% of unit-holders by value of commitment.
- Mandatory Exit Option: Dissenting investors who do not agree to the material change must be provided a realistic exit option at fair market value determined by an independent valuer.
The ultimate realization of investment returns in an AIF occurs upon the execution of profitable portfolio exits.

Winding Up, Liquidation Process, and Dissolution
Under Regulation 29 of the SEBI AIF Regulations:
- Liquidation Period: Upon expiry of the fund tenure, the Manager has a one-year liquidation period to dispose of remaining portfolio assets and distribute cash to investors.
- Dissolution Period: SEBI introduced the concept of a dedicated Dissolution Period (or liquidation scheme) to allow funds to unbundle and manage unliquidated assets without forcing distressed fire sales.
- Distribution in Specie: Assets that cannot be liquidated may be distributed in specie to unit-holders, subject to prior approval of at least 75% of unit-holders by value.
