REGISTRAR & TRANSFER AGENT (RTA)
(e.g., CAMS, KFintech)
In-House RTAs vs. Third-Party RTAs
- In-House RTAs: An AMC handles its own registrar and transfer activities internally by obtaining SEBI Category I RTA registration (rare in modern practice due to high technology and compliance overhead).
- Third-Party RTAs: Independent specialized financial technology corporations that service multiple AMCs under service-level agreements (SLAs). In India, the mutual fund RTA space is a duopoly dominated by:
- Computer Age Management Services Limited (CAMS): Services the majority of mutual fund industry AUM (including SBI, HDFC, ICICI Prudential).
- KFin Technologies Limited (KFintech): Services major fund houses (including Nippon India, UTI, Axis, Mirae Asset).
6.2 Core Functional Responsibilities of a Mutual Fund RTA
1. Investor Record Keeping & Folio Management
- Folio Creation: A folio is a unique numeric account identifier assigned to an investor by a mutual fund scheme. The RTA creates and maintains the master folio containing investor demographics, tax status, bank mandates, nomination records, and KYC status.
- Unit Ledger Accounting: Maintains the official register of unit holders under the Indian Trusts Act, tracking every unit creation, unit redemption, and balance adjustment across all schemes.
2. Transaction Processing
- Financial Transactions: Processing lump sum purchases, additional purchases, redemptions, switches between schemes, and systematic plans (Systematic Investment Plans - SIP, Systematic Withdrawal Plans - SWP, Systematic Transfer Plans - STP).
- Non-Financial Transactions (NFT): Updating bank account mandates, change of address, registering nominations, processing transmission requests upon death of unit holders, pledge/lien marking, and minor-to-major status changes.
3. Distributor Servicing & Brokerage Processing
- Maintains distributor empanelment records and validates AMFI Registration Numbers (ARN).
- Trail Commission Computation: Calculates daily trail commissions payable to mutual fund distributors based on daily net assets generated by their tagged investors.
- Tax Deductions: Deducts applicable Goods and Services Tax (GST) at 18% and TDS under Section 194H at 5% on commission payments exceeding ₹15,000 annually.
4. Statutory & Regulatory Reporting
- Submits the Statement of Financial Transactions (SFT / Form 61A) to the Central Board of Direct Taxes (CBDT) reporting high-value transactions.
- Files reports with the Financial Intelligence Unit - India (FIU-IND) under the Prevention of Money Laundering Act (PMLA).
- Submits periodic compliance and grievance redressal reports to SEBI and the Association of Mutual Funds in India (AMFI).
